This Beta Tester Non-Disclosure Agreement ("Agreement") is entered into between RigNav, Inc. ("Company") and you ("Beta Tester") upon acceptance below. By clicking "I Agree," you agree to be legally bound by the following terms.
You are being granted access to RigNav Pro, a proprietary trucking GPS web application currently in beta testing. In connection with this access, the Company may share confidential and proprietary information with you.
All information related to RigNav Pro is confidential, including but not limited to: the application's features, design, source code, bugs and defects, access credentials, URLs, business plans, pricing, and any feedback exchanged. You agree to keep all such information strictly confidential and not disclose it to any third party.
You may only use RigNav Pro for personal beta testing and feedback purposes. You may not share your login credentials or the application URL with any other person. You may not reverse engineer, copy, or create derivative works based on any part of RigNav Pro.
Any feedback, suggestions, or bug reports you provide become the sole property of RigNav, Inc. You waive any claims to compensation or ownership of such feedback.
RigNav Pro is provided "as is" during beta testing. The Company makes no warranties regarding fitness for any purpose. You assume all risk associated with use of the beta application.
This Agreement remains in effect for one (1) year from the date of acceptance, or until RigNav Pro is publicly released, whichever comes first. Obligations related to trade secrets survive indefinitely.
This Agreement is governed by the laws of the State of Washington. Any disputes shall be resolved in Washington State courts.
This Agreement constitutes the entire agreement between the parties regarding beta access and supersedes all prior agreements. Your electronic acceptance below constitutes a valid, binding signature under the Electronic Signatures in Global and National Commerce Act (E-SIGN Act).
By clicking "I Agree" below, you acknowledge that you have read, understood, and agree to be bound by the terms of this Agreement. Your acceptance is logged with a timestamp as proof of agreement.
